JB InfoTech Solutions provides digital communication and growth solutions for businesses, including but not limited to Bulk SMS, WhatsApp Business messaging, RCS messaging, Voice calls and IVR solutions, social media management, Facebook & Google Ads campaign management, and lead generation. The specific scope, pricing, delivery timelines and deliverables for any engagement will be as agreed in writing (via quotation, proposal, invoice or order confirmation) between you and JB InfoTech Solutions.

We reserve the right to modify, suspend or discontinue any part of our Services at any time, with reasonable notice where practicable.

4. Eligibility & Account Use

You must be at least 18 years old and legally capable of entering into a binding contract to use our Services. If you use our Services on behalf of a business, you confirm that you have the authority to bind that business to these Terms.

You are responsible for maintaining the confidentiality of any login credentials, API keys or account access provided to you, and for all activity that occurs under your account.

5. Acceptable Use

When using our Services, you agree that you will not:

• Send unsolicited, unlawful, fraudulent, misleading, defamatory or obscene content.
• Use our Services to send spam, phishing messages, or content that violates TRAI, DLT, or any applicable telecom/communication regulations in India.
• Upload contact lists that have not been lawfully collected or that violate the privacy rights of third parties.
• Attempt to gain unauthorised access to our systems, networks, or the accounts of other clients.
• Use our Services to transmit malware, viruses, or any code designed to disrupt or damage systems.
• Infringe the intellectual property, publicity or privacy rights of any person or entity.

We reserve the right to suspend or terminate access, without prior notice, where we reasonably believe these Terms or applicable law have been violated.

6. Messaging & Communication Compliance

You are solely responsible for ensuring that all Content you send through our Bulk SMS, WhatsApp, RCS, Voice, IVR and related channels complies with applicable laws and regulatory frameworks, including TRAI regulations, the DLT (Distributed Ledger Technology) registration requirements, WhatsApp Business Policy, and consumer protection and data protection laws. You confirm that you have obtained all necessary consents from recipients before sending them communications through our platform.

JB InfoTech Solutions acts as a service provider/facilitator of these communications and is not responsible for the legality, accuracy or consequences of the Content you choose to send.

7. Payments, Billing & Refunds

Fees for our Services will be as set out in the applicable quotation, proposal or invoice. Unless otherwise agreed in writing, payments are due as per the terms specified at the time of order confirmation. Delayed payments may result in suspension of Services.

Given the nature of digital communication and advertising services (message credits, ad spend, campaign setup, etc.), fees already utilised, consumed or spent on your behalf (such as SMS/WhatsApp credits sent, or ad budget spent with third-party platforms) are generally non-refundable. Any refund requests will be assessed on a case-by-case basis at our sole discretion, in accordance with what is agreed in your specific service order.

8. Intellectual Property

All content on our website — including text, graphics, logos, design and software — is the property of JB InfoTech Solutions or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute or create derivative works from our website content without our prior written consent.

You retain ownership of any Content (messages, creatives, brand assets) you provide to us, and grant us a limited licence to use such Content solely for the purpose of delivering the Services to you.

9. Third-Party Services & Links

Our Services may integrate with or rely on third-party platforms (such as WhatsApp, Meta/Facebook, Google Ads, telecom operators, and payment gateways). Your use of such third-party platforms is subject to their respective terms and policies, and JB InfoTech Solutions is not responsible for the availability, performance or policies of these third parties.

10. Disclaimer of Warranties

Our website and Services are provided on an "as is" and "as available" basis. While we strive for high reliability and performance, we do not guarantee that our website or Services will be uninterrupted, error-free, or achieve any specific business result (such as guaranteed leads, sales, or campaign outcomes).

11. Limitation of Liability

To the maximum extent permitted by applicable law, JB InfoTech Solutions shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising out of or related to your use of our website or Services. Our total aggregate liability for any claim arising from the Services shall not exceed the amount actually paid by you to us for the specific Service giving rise to the claim in the preceding three (3) months.

We may suspend or terminate your access to our Services at any time if you breach these Terms, fail to make payment, or engage in activity that we reasonably believe is unlawful or harmful to us, our other clients, or third parties. You may discontinue use of our Services at any time, subject to any minimum commitment or notice period agreed in your service order.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts at Ludhiana, Punjab, India.
